By logging in you agree to the following terms: Congratulations on your smart decision to implement MoneyTreeLeadSystems.com in your marketplace! “MoneyTreeLeadSystems.com” or “Licensor”, with an address at 2633 West College Road Springfield, Mo 65802 has developed the MoneyTreeLeadSystems.com online real estate marketing platform, which consists of proprietary computer software, content and services (the “Platform”), specifically with you in mind. The party listed above (hereinafter referred to as “Licensee”) wishes to license from MoneyTreeLeadSystems.com software and content of the Platform and use the services of the Platform under the terms and conditions of this License and Services Agreement (“Agreement”).
For the duration of this Agreement, and in consideration of timely and full payment of the License Fees and Expenses as defined herein, MoneyTreeLeadSystems.com grants to Licensee a non-exclusive, nontransferable license to access and use the Platform, including its software and content, pursuant to the terms of this Agreement (the “License”). The Platform may not be resold, leased, sublicensed or distributed, accessed or used by any other party or for any other purpose without Licensor’s prior written approval. No implied licenses are granted, and Licensor reserves all rights not expressly granted herein.
As part of the Platform, MoneyTreeLeadSystems.com will also provide the following services (“Services”) for the duration of this Agreement and any renewals thereof:
MoneyTreeLeadSystems.com and Licensee will work together to provisioning Licensee’s use of the Platform. Licensee is responsible for delivery in the Content, MLS RETS feed and for the service of a preferred lender (if applicable) by no later than sixty (60) days after this Agreement has been executed by all parties. MoneyTreeLeadSystems.com and Licensee agree to work together expeditiously in order to complete the provisioning by no later than ninety (90) days after such delivery. Licensee’s failure to perform under this section or Licensee’s failure to send a signed copy back of this agreement after any monies are received from Licensee shall constitute a material breach, and may result in early termination of this Agreement and a termination penalty as set forth herein.
Licensee may permit brokers and/or agents (collectively, “Users”) to use the Platform pursuant to this Agreement. Licensee is responsible for all use by its Users and anyone using a password provided to Licensee.
All fees are paid for by expertadvisor.com and naea. There is no direct cost to the user they give access to the system.

Subject to the rights granted in this Agreement, Licensor retains all right, title and interest in and to the Services, all underlying technology, software and other intellectual property incorporated in and/or used to deliver the Service, all modifications, enhancements and improvements of and all derivative works based upon the foregoing, any and all methods, business rules, algorithms, discoveries, inventions, materials, ideas and other work product that is conceived, originated, prepared or reduced to practice by Licensor in connection with the Services or any other services provided by Licensor hereunder, the look and feel of Licensor’s Website (including the trade dress thereof), and all related tangible and intangible property rights in the foregoing items. This Agreement does not constitute a sale and does not convey to Licensee any rights of ownership.
Under no circumstances shall MoneyTreeLeadSystems.com be liable for any indirect, punitive, incidental, special, consequential or other damages (other than direct damages) that result from the content of, use of, or inability to use the platform, website, services or any other MoneyTreeLeadSystems.com work product. This limitation applies whether the alleged liability is based on contract, tort (including, but not limited to, negligence), infringement, or any other basis, even if MoneyTreeLeadSystems.com has been advised of the possibility of such liability. With respect to direct damages, Licensee’s remedy is limited to one of the following: a refund of Licensee’s most recent one (1) month’ payments of the License Fee, or repair/replacement of the Website or Platform, at MoneyTreeLeadSystems.com’s discretion. These disclaimers and limitations apply to the fullest extent permitted by law.
Licensee shall defend, indemnify, save and hold MoneyTreeLeadSystems.com (including the officers, directors, employees, members, owners, contractors, representatives, successors and assigns of MoneyTreeLeadSystems.com) harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees, that arise from or are related to (i) Licensee’s or its Users’ use of the MoneyTreeLeadSystems.com Platform, Website and/or Services: (ii) breach of this Agreement by Licensee (including its Users); (iii) injury to person or property caused by any products or services sold or otherwise distributed by Licensee through the Website or Platform; and (iv) Licensee’s failure to comply with any and all applicable MLS regulations, particularly with respect to such regulations that are State-specific.

DownPayment.org reserves the right at all times to discontinue or modify any of our terms and/ or Privacy Policy as deemed necessary or desirable, by posting a change notice or new agreement on the Site. Any modifications become effective immediately upon being posted to the site. Cancellation Policy Members may terminate service at any time for any reason by giving at least thirty (30) days notice in writing by emailing support@downpayment.org or mailing to: DownPayment.org Resolution Department, 6170 Research Rd, Ste 221, Frisco TX 75033. The account will be terminated at the end of the next billing cycle. Upon termination, your access to the Expert Advisor Referral Network will be revoked. Members will remain responsible for their Setup Fee, all charges incurred, and the referral fee on any and all provided referrals through the platform. No refunds will be issued.
Subject to Change We may change any of the Terms by posting revised Terms of Use on our Website and/or by sending an email to the current email address on file. How the Referral Program Works The DownPayment.org referral program is administered through the licensed brokerage National Association of Expert Advisors, a Texas real estate brokerage license number 9004982. DownPayment.org helps home buyers and sellers connect with real estate professionals in their area. Members understand a referral fee will be due on any client (referral), person, homebuyer or home seller who is introduced, sent, or referred to you by addition to the Expert Advisor Referral Netowrk dashboard, direct email, fax, phone call, SMS, text message, or any other means of communication from DownPayment.org to our member.
Disallowed Traffic Methods Users can market to their DownPayment.org subdomains to generate leads/referrals for themselves that are not subject to any referral fees. A user’s marketing is expressly limited to email marketing and campaigns, print marketing and campaigns, and/or telemarketing campaigns. Users may not utilize online payperclick, payperimpression, or any other paid internet marketing including, but not limited to, Google Adwords, Facebook Ads, LinkedIn Ad Network, Twitters ads and/or any other independent website ads. Members are allowed to use DownPayment.org trademarked or copyrighted content and names through approved marketing channels only.
No Warranties DownPayment.org and affiliates (including real estate professionals, home buyers and sellers, directors, investors, employees, suppliers and more) provide this website and all associated products and services on an “as is” basis with no warranty or condition, express, implied or statutory. Members utilize the products and services at their own risk. To the maximum extent permitted by law, DownPayment.org provides the material on the Website and the Service as is.
Limitation of Liability DownPayment.org is not liable for any indirect, punitive, special, or consequential damages under any circumstances, even if they’re based on negligence or DownPayment.org has been advised of the possibility of those damages. DownPayment.org’s total liability for all claims made about the Service in any month will be no more than what you paid us for the Service the month before.
Indemnity Members agree to indemnify and hold DownPayment.org, and any of its affiliates, harmless from any losses, including attorney fees that result from any claims made by member that aren’t allowed under these Terms due to a “Limitation of Liability” or other provision. (Indemnity is an agreement to compensate someone for a loss.) Referral Fees By using the Expert Advsior Referral Network and/or their DownPayment.org personalized subdomain Referral Partners agree that a referral fee of 25% of the referredside commission based upon a 2% minimum of the gross sales price will be paid as a result of any home bought or sold through our system. Members will be credited $397, a member’s performance deposit, for each transaction closed until all paid performance deposits are credited back to the member.
Members must be current on any deposits at the time of the closing and the referral fee collected must be an amount greater than $397 in order to qualify for credit. Once a track record of 2 (two) closings per month for 2 (two) consecutive months has been established, DownPayment.org will waive the performance deposit as long as the member continues to meet the minimum performance requirements of 1 (one) closing per month.
